Contracts - The Devil is in the Detail
We recently settled a contract, which was not drafted by lawyers, for the sale of a business. On the day of settlement, the parties could not agree on the Work in Progress adjustment, due to differing opinion on the interpretation of a special condition. Although the matter was settled with a very favourable result for our client, it does highlight the fact that obtaining legal advice prior to entering into a contract provides you with the comfort of knowing exactly what it is you are signing, and what should be amended to protect your interests.
